A growing boutique law firm is seeking an experienced Corporate Lawyer to join its team in a 100% remote capacity.

This is an excellent opportunity for a corporate lawyer looking for flexibility while working with a collaborative legal team. The successful candidate can be located anywhere in Canada, provided they are licensed and in good standing to practice law in Ontario.

About the Opportunity

The successful candidate will advise clients on a broad range of corporate and commercial matters and will be responsible for managing files independently while working collaboratively with the firm's legal team.

The firm is looking for a lawyer with 5+ years of corporate law experience who has strong technical knowledge, excellent client-service skills, and the ability to manage matters from start to finish.

Key Responsibilities

• Advise clients on a broad range of corporate and commercial matters.
• Manage corporate transactions and files from inception through completion.
• Draft, review, and negotiate corporate and commercial agreements.
• Handle incorporations, reorganizations, amalgamations, continuances, and corporate restructurings.
• Prepare and review shareholder, partnership, and other corporate agreements.
• Assist with mergers and acquisitions, including due diligence and transaction documentation.
• Prepare and maintain corporate records, minute books, resolutions, and registers.
• Provide legal advice regarding corporate governance and compliance.
• Conduct legal research and provide practical, business-focused legal advice.
• Communicate directly with clients, opposing counsel, and other professionals.
• Manage deadlines, client expectations, and multiple matters simultaneously.
• Work collaboratively with other lawyers and professionals within the firm.

Qualifications

• 5+ years of experience practicing Corporate/Commercial Law.
• Must be licensed and in good standing with the Law Society of Ontario.
• Strong knowledge of Ontario corporate and commercial law.
• Experience independently managing corporate files and client relationships.
• Strong drafting, negotiation, analytical, and legal research skills.
• Excellent written and verbal communication skills.
• Strong attention to detail and organizational skills.
• Ability to manage multiple priorities and deadlines independently.
• Strong business judgment and client-service orientation.
• Comfortable working in a fully remote environment.

Compensation

Up to $180,000

The salary range for this position can go up to $180,000, depending on experience, qualifications, and overall fit.
